Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Lateish (the “Service”). By creating an account or using the Service, you agree to these Terms. If you're accepting on behalf of an organization, you're confirming you have the authority to bind that organization, and “you” refers to both you and it.

Lateish is a platform for beverage brands, agencies, and distributors to manage sales territories, accounts, distributor performance, market targets, and field team activity, across web and mobile. Some features are gated by subscription tier; we'll always tell you when a feature isn't included in your plan rather than let you assume it's broken.

• You must provide accurate information when creating an account and keep it up to date.
• You're responsible for activity that happens under your account and for keeping your credentials secure.
• Organization administrators control who can join their organization and what role each member has — we act on the organization's instructions for adding, removing, and role-changing members.
• You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service.

You and your organization retain ownership of the business data you put into the Service — accounts, orders, targets, notes, and the like. You grant us a license to host, process, and display that data solely to provide the Service to you. See our Privacy Policy for how we handle personal information specifically.

You agree not to:

• Use the Service for any unlawful purpose, or in a way that infringes anyone else's rights.
• Attempt to gain unauthorized access to any part of the Service, other accounts, or our systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse engineer, decompile, or attempt to extract the source code of the Service, except where the law expressly permits it.
• Use the Service to send spam or unsolicited communications.

The Service can connect to third-party services you choose to enable, such as Google Calendar. Your use of those integrations is also subject to that provider's own terms. We're not responsible for the availability or conduct of third-party services.

Paid tiers, where applicable, are billed as described at the time of purchase or in your order form. Fees are non-refundable except where required by law or expressly stated otherwise. We'll give you reasonable notice before any change to pricing that affects your then-current plan.

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms, or if we reasonably believe your use of the Service poses a risk to us, other users, or third parties. On termination, your organization's admin can request an export of your organization's data within a reasonable period.

The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We don't warrant that the Service will be uninterrupted, error-free, or that any data (including analytics or forecasts it surfaces) will be complete or accurate.

To the maximum extent permitted by law, Lateish will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Service. Our total liability for any claim arising out of these Terms will not exceed the amount you paid us for the Service in the twelve months before the claim arose.

These Terms are governed by the laws of the United States, without regard to conflict-of-law principles, unless otherwise required by the mandatory law of your jurisdiction.

We may update these Terms from time to time. If we make material changes, we'll notify you through the Service or by email before they take effect. Continuing to use the Service after changes take effect means you accept the updated Terms.
